Airdrop Terms and Conditions

BY PARTICIPATING IN THE AIRDROP, INCLUDING BUT NOT LIMITED TO CONNECTING A WALLET (AS DEFINED BELOW) AS DESCRIBED IN THESE TERMS OF SERVICE (THE “AIRDROP TERMS AND CONDITIONS”), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE AIRDROP TERMS AND CONDITIONS IN THEIR ENTIRETY. YOU ARE RESPONSIBLE FOR MAKING YOUR OWN DECISION ABOUT PARTICIPATING IN THE AIRDROP AND RECEIVING ANY TOKENS. PARTICIPATING IN THE AIRDROP IS ENTIRELY AT YOUR OWN RISK, AND IT IS YOUR SOLE RESPONSIBILITY TO GET APPROPRIATE PROFESSIONAL, LEGAL, TAX, AND OTHER ADVICE ABOUT THE AIRDROP AND THE TOKENS BEFORE YOU PARTICIPATE OR RECEIVE ANY TOKENS.

BY PARTICIPATING IN THE AIRDROP, YOU EXPRESSLY ACKNOWLEDGE AND ACCEPT ALL RISKS INVOLVED, INCLUDING (BUT NOT LIMITED TO) THE RISKS DESCRIBED BELOW. IN NO EVENT WILL WE BE HELD LIABLE FOR ANY CLAIMS, LOSSES, DAMAGES, OR OTHER LIABILITIES (WHETHER IN CONTRACT, TORT, OR OTHERWISE) ARISING OUT OF OR IN CONNECTION WITH THE AIRDROP OR YOUR RECEIPT OF ANY TOKENS.

PLUME DOES NOT TAKE ANY RESPONSIBILITY FOR YOUR PARTICIPATION IN THE AIRDROP. WE DO NOT PROVIDE ANY RECOMMENDATION OR ADVICE ABOUT THE AIRDROP OR THE TOKENS. YOU PARTICIPATE IN THE AIRDROP AND RECEIVE TOKENS AT YOUR OWN RISK.

SECTION 13 OF THESE TERMS CONTAINS AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER. PLEASE REVIEW THESE CLAUSES CAREFULLY BECAUSE THEY AFFECT YOUR RIGHTS. BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE ALL DISPUTES RELATED TO THE AIRDROP THROUGH BINDING INDIVIDUAL ARBITRATION AND TO WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS, AS SET FORTH IN THESE TERMS.

1. Introduction

1.1 Terms: These Airdrop Terms and Conditions govern your participation in and receipt of tokens through the airdrop program (“Airdrop”) organized by the Plume Foundation, a Cayman Islands foundation company, and its subsidiaries (“we,” “us,” or “our”). These Airdrop Terms and Conditions are supplemental to, and incorporate by reference, our general Terms of Service available at [LINK] (the “General TOS” and together with these Airdrop Terms and Conditions, the “Terms”). Defined terms used but not defined here have the meaning set forth in the General TOS. The Airdrop, and your participation in it, is a Service as defined in the General TOS.

1.2 Agreement: By participating in the Airdrop, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms govern your ability to participate in the Airdrop. Please read these Terms carefully, as they include important information about your legal rights. By participating in the Airdrop, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not participate in the Airdrop.

1.3 Acting on Behalf of an Entity: If you are participating in the Airdrop on behalf of a company or other organization, you are agreeing to these Terms for that entity and confirming that you have the authority to bind that entity to these Terms. In that case, the words “you” and “your” refer to that entity.

1.4 Changes to These Terms: We may change or update any part of these Terms at any time in our sole discretion. If we do, we will post the updated Terms on our website and note the new “Last Updated” date at the top. Your continued use of our Services after the changes take effect means you accept the new Terms. If you do not agree to the updated Terms, you must stop using the Airdrop website and Services. We will not be liable to you or anyone else for any losses caused by these changes. For material changes, we will provide at least thirty (30) days’ advance notice before such changes take effect.

2. Eligibility

2.1 Our Decision: We decide, in our sole discretion, who is eligible for the Airdrop and how many Tokens each eligible person receives. Different people may receive different amounts depending on the criteria we set. We do not have to tell anyone the eligibility criteria before, during, or after the Airdrop.

2.2 Disqualification: We may disqualify any person from the Airdrop at any time in our sole discretion if we believe they are ineligible or have engaged in harmful, unlawful, or inappropriate conduct (for example, using multiple wallet addresses to try to game the system).

2.3 Age Requirement: You must be old enough to have full legal capacity in your jurisdiction of residence (usually the age of majority) to participate.

2.4 Legal Compliance: You are solely responsible for understanding and following all laws that apply to you in your jurisdiction. We may ask for additional information from you and share it with a third-party screening service to check for money-laundering, sanctions, or other risks. You agree to provide complete and accurate information.

2.5 Residency Restrictions: You confirm that you are not located in, or a resident of, any jurisdiction where participation in the Airdrop is prohibited or restricted.

2.6 Risk Screening: We use a risk-based screening program. Wallets are checked by an independent blockchain analytics provider. We also use geo-location and proxy-detection tools. We may block any wallet, IP address, or person that appears to present heightened risk or is in a prohibited jurisdiction.

2.7 Agreement to Screening: By participating, you agree that your wallet address and IP address may be screened and excluded if they trigger our risk criteria. Prohibited jurisdictions can change at our discretion without notice. We block VPNs and proxies to prevent circumvention.

3. Participation Requirements

3.1 Registration: You may need to sign up with valid information (such as an email or wallet address) and follow our instructions.

3.2 Wallet Compatibility: You must provide a compatible digital wallet that can receive the Tokens. We are not responsible for Tokens sent to the wrong address or for any technical issues, delays, or third-party fees.

3.3 Wallet Ownership: You confirm that you legally own and control the wallet you use and will not transfer control of it or the Tokens to anyone in order to avoid the Lock-Up period or to give Tokens to someone who would otherwise be ineligible.

3.4 Wallet Disclaimers: Your participation is at your own risk. You must follow the terms of your wallet provider. We do not control your wallet or private keys and are not responsible for any loss of access, hacks, or technical problems with the wallet or blockchain. If you cannot claim Tokens for any reason (bugs, gas fees, lost keys, etc.), you have no claim against us.

3.5 Lock-Up Period: The Tokens you receive will be subject to a transfer restriction period (“Lock-Up”) that may be enforced by smart contract. You agree to follow the Lock-Up, and we may extend or modify it in our sole discretion.

4. Distribution of Tokens

4.1 Timing: We will distribute Tokens to eligible participants at our discretion.

4.2 Token Allocation: The number of Tokens you receive may be limited or changed by us at any time. We may modify or cancel the Airdrop without notice.

4.3 No Guarantee: We do not guarantee any value, utility, or future rights for the Tokens.

5. Representations and Warranties

5.1 Your Promises: You confirm and promise that: (a) you are eligible under these Terms and applicable law; (b) the wallet you provide is under your sole control; (c) all information you give us is true, accurate, and complete; (d) you understand the Tokens may have financial, legal, or tax consequences; (e) you are solely responsible for any taxes and should consult a tax advisor; and (f) you will not use a VPN or other tool to bypass our geo-blocks (doing so may disqualify you permanently).

5.2 Not a Prohibited Person: You confirm you are not on any sanctions lists maintained by the U.S., U.K., EU, UN, or other authorities, and you are not subject to sanctions.

5.3 Not from a Prohibited Jurisdiction: You confirm you are not located in, a citizen of, or a resident of any of the following (or any other jurisdiction we later designate as prohibited): Afghanistan, Belarus, Central African Republic, Cuba, Democratic Republic of Congo, North Korea, Donetsk or Luhansk regions of Ukraine, Iran, Liberia, Mozambique, Myanmar, Rwanda, Somalia, South Sudan, Sudan, Syria, Uganda, Crimea, Zimbabwe, or the United States of America.

5.4 No Payment or Expectation: You understand that the Airdrop involves no payment or consideration from you to us (other than possible gas fees or taxes). You were not promised Tokens, did not rely on any third-party points or metrics, and have no claim based on any third-party publications or services.

5.5 “As-Is” Disclaimer: The Airdrop is provided “as is.” We make no promises about its performance, security, accuracy, or that it will meet your expectations. We disclaim all warranties to the maximum extent permitted by law.

6. Prohibited Activities

The following are strictly prohibited:

• Violating any laws (including financial, anti-money-laundering, sanctions, or intellectual-property laws).

• Hiding your identity or using proxies for illegal purposes.

• Introducing viruses, malware, or attempting to disrupt the Services.

• Using automated tools to scrape or copy the website without permission.

• Trying to defraud us or others, or providing false information.

• Harvesting contact information for spam.

• Encouraging anyone else to break these rules.

We may investigate and report violations to law enforcement.

7. Limitation of Liability and Release

7.1 Maximum Limit: To the fullest extent allowed by law, you understand and agree that neither we nor our affiliates, service providers, or personnel will be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill) arising from your use of the Airdrop or Tokens. This includes damages caused by technical issues, third-party services, or inability to claim Tokens. In places where some limitations are not allowed, our liability is limited as much as the law permits. Notwithstanding the foregoing, nothing in this Section shall exclude or limit liability for fraud, gross negligence, or willful misconduct.

7.2 Release: You waive and release us and all related parties from any claims arising from your participation in the Airdrop or use of the Services.

7.3 No Advice or Fiduciary Duties: All information we provide is for general information only and is not professional advice. We have no fiduciary duties to you. You should consult qualified professionals before making any financial, legal, or tax decisions.

8. Indemnification

You agree to indemnify, defend, and hold us, our directors, officers, employees, and agents harmless from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms or your participation in the Airdrop. This obligation survives even after the Terms end. We may take over the defense of any such matter, and you must cooperate. You may not settle any claim without our written consent.

9. Termination

We may suspend or end your participation at any time in our sole discretion if we believe you have breached these Terms or that your participation poses a risk. We may also modify, suspend, or end the entire Airdrop program at any time without notice.

10. Intellectual Property Rights

We (or our licensors) own all intellectual property rights in the Tokens, the Plume protocol, the website, and all related content (including art, code, designs, and branding). Your receipt of Tokens does not give you any ownership or additional rights in that content. You may not reproduce, copy, or use our trademarks without our prior written consent.

11. Risks of Participation

Claiming, holding, or using the Tokens involves significant risk, including risks not listed here. You should consult your own legal, tax, and financial advisors. Key risks include:

11.1 Blockchain Risks: Cryptocurrency markets are volatile. Transaction costs and speeds can change dramatically. Your digital assets may lose value.

11.2 Scams and Fraud: Fake tokens and websites exist. The only official registration site is https://tally.so/r/VLVoPy. We are not responsible for losses from fraudulent sites.

11.3 Tax and Regulatory Risks: Taxes and regulations may change and could affect the Tokens. You are solely responsible for your taxes.

11.4 Cybersecurity Risks: Hacks or security breaches could cause loss of Tokens.

11.5 Utilization Risks: There is no guarantee the Tokens or Plume Network will work as intended or continue to be developed.

11.6 Market Risks: There may never be a liquid market for the Tokens, and the Lock-Up period restricts sales for a long time.

12. Privacy and Data Protection

We may collect and use limited personal information to verify eligibility and distribute Tokens. We handle data in accordance with applicable privacy laws and our Privacy Policy. By participating, you consent to this collection and use.

13. Governing Law and Dispute Resolution

13.1 Governing Law: These Terms are governed by the laws of the Cayman Islands, without regard to conflict-of-laws rules.

13.2 Arbitration: Any dispute arising from these Terms or the Airdrop must be resolved by binding arbitration administered by the Cayman International Mediation and Arbitration Centre (CI-MAC) in the Cayman Islands. The arbitration will be conducted by a single arbitrator appointed by CI-MAC in accordance with its rules, in English. You waive any right to participate in class actions or representative proceedings.

13.3 Other Provisions: Our failure to enforce any right does not waive it. If any provision is invalid, the rest remain in effect. Any claim must be filed within one year or it is permanently barred.

14. Miscellaneous

14.1 Entire Agreement: These Terms are the complete agreement between you and us regarding the Airdrop and replace any earlier understandings. If any part is unenforceable, the rest stays in force.

14.2 No Assignment: You may not assign or transfer your rights under these Terms without our prior written consent.
